The primary role of this position is to assist the CEO, the DEO/COO, and senior elected leadership in activities involving society governance, with specific focus on the administration of the Board of Directors, Council of Representatives and the governance committees of the Society. The Corporate Secretary is an Officer of the Society as mandated by the District of Columbia Nonprofit Corporations Act, requiring Board approval and CEO concurrence.
Maintains all corporate and governance records of the Society for historical and legal purposes in accordance with the District of Columbia Nonprofit Corporations Act.
Coordinates with and assists the CEO and senior elected leadership regarding all governance activities, including activities of the Council of Representatives, the Board of Directors, and other governing and leadership committees (Governance Committee, Nominating Committee, Board Executive Committee, and the Council Steering Committee).
Administers the annual Society-wide election and the annual Council election.
Organizes and coordinates the Annual Business Meeting of the Society.
Conducts and maintains records of an annual Conflict of Interest survey of all elected and appointed APS leadership including Board, Council, Society Committees and Unit Executive Committees.
Assists all units regarding unit bylaws amendments and directs unit bylaws amendments through APS Governance Committee review and APS Council approval.
Coordinates with the Panel on Public Affairs through all phases of APS, Board, and Unit Statement review and approval.
Coordinates with the Membership Department personnel administering unit elections.
Controls operational budgets related to the Board of Directors, Council of Representatives, Presidential Line, and Elections.
Organizes and coordinates orientation of new members of the Board of Directors and Council of Representatives.
Appoints unit nominating committee members when required by unit bylaws procedures.
Manages and updates APS Governance sections of the APS website.
Undertakes related duties and special projects as assigned by the CEO or the Board of Directors.
Coordinates regularly with the other members of the Executive Office.
Serves as backup to the Manager, Executive Office in his/her absence.
Education: BA/BS degree required
